  1. Acceptance of Terms

Welcome to Reel AI! These Terms of Service ("Terms") constitute a legally binding agreement between you and Director AI, Inc ("Company," "we," "us," or "our"). Reel AI is a video content platform that allows users to discover, watch, and interact with video content, including premium content that may require payment. By accessing or using Reel AI, you agree to be bound by these Terms. If you do not agree, you must not use Reel AI.

  1. Eligibility

You must be at least 18 years old to access or use Reel AI. By using the platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

  1. Use of the Platform

Proper Use: You agree to use Reel AI in compliance with all applicable laws and regulations. You must not engage in harmful, unlawful, deceptive, abusive, or exploitative behavior, including harassment, impersonation, infringement of intellectual property rights, or unauthorized data collection.

Account Registration: To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Community Standards: Reel AI may provide community guidelines governing interactions, comments, and content. You agree to follow these guidelines and to interact with others respectfully.

Reporting Violations: If you encounter content or users that violate these Terms or applicable policies, you may report them through the platform. We reserve the right to investigate and take appropriate action at our discretion.

Safety Tools: Reel AI allows users to report content. We also may use automated and human review to restrict or remove objectionable content, and we will respond to reports in a timely manner.

  1. Content on Reel AI

User Content Ownership: You retain ownership of the content you submit, upload, or post on Reel AI. However, by submitting content, you grant Director AI, Inc a non-exclusive, royalty-free, worldwide license to host, store, reproduce, distribute, publicly display, and perform such content solely for the purpose of operating, improving, promoting, and providing the service of Reel AI.

Content Rights Representation: By uploading or sharing content on Reel AI, you represent and warrant that you own or have obtained all necessary rights, licenses, permissions, and consents to upload, distribute, and display the content on the platform, and that your content does not infringe the intellectual property, privacy, publicity, or other rights of any third party.

Content Visibility: Depending on how you use the platform, your content, interactions, username, and profile information may be visible to other users.

Prohibited Content: You may not upload, post, or share content that is unlawful, infringing, defamatory, obscene, misleading, explicit, or otherwise violates the rights of others or these Terms. We may remove, restrict, or disable access to any content at our discretion if we believe it violates these Terms, our policies, or applicable law, or may expose Reel AI or its users to harm.

Copyright complaints (DMCA): Reel AI respects the intellectual property rights of others and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”).

How to Submit a Copyright Notice

If you believe that content available on Reel AI infringes your copyright, please send a written notice to our designated copyright agent at contact@reel-ai.movie that includes the following:

  1. Your name, address, telephone number, and email address.

  2. A description of the copyrighted work you claim has been infringed.

  3. A description of where the allegedly infringing content is located on Reel AI (including the URL or other identifying information).

  4. A statement that you have a good-faith belief that the use of the content is not authorized by the copyright owner, its agent, or the law.

  5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

  6. Your physical or electronic signature.

Upon receipt of a valid notice, we may remove or disable access to the allegedly infringing content and, where appropriate, notify the user who uploaded the content.

Repeat Infringers

Reel AI reserves the right to suspend or terminate accounts of users who are determined to be repeat infringers, in appropriate circumstances and at our discretion.

Counter-Notice

If you believe your content was removed in error, you may submit a counter-notification in accordance with the DMCA. Instructions will be provided upon request.

  1. Payments, Purchases, and Subscriptions

Creator Monetization: Reel AI may offer creator monetization programs or revenue-sharing features. Eligibility, earnings calculations, payment timing, and applicable policies may be governed by separate creator program terms provided by Reel AI.

Paid Content and Features: Reel AI may offer paid content, virtual goods, or subscription-based access. By making a purchase, you agree to pay all applicable fees and taxes associated with your purchase.

Subscription Terms: Subscription details, including pricing, billing cycles, and renewal terms, will be disclosed prior to purchase. Subscriptions may automatically renew unless canceled in accordance with the stated terms.

Cancellations and Refunds: You may cancel a subscription at any time, but refunds are not guaranteed and are subject to our refund policy and applicable law. Certain purchases may be non-refundable.

Third-Party Payments: Payments may be processed by third-party payment providers. We are not responsible for errors or issues caused by such providers.

  1. Disclaimers and Limitation of Liability

Use at Your Own Risk: Your use of Reel AI is at your own risk. The platform and all content are provided on an "as is" and "as available" basis.

No Warranties: To the fullest extent permitted by law, Director AI, Inc disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that Reel AI will be uninterrupted, error-free, or secure.

Limitation of Liability: To the maximum extent permitted by law, Director AI, Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Reel AI or these Terms.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Director AI, Inc and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of Reel AI, your content, or your violation of these Terms or applicable laws.

  1. Advertisements and Third-Party Content

Reel AI may display advertisements or include third-party content or links. We do not endorse or assume responsibility for third-party content, products, or services. Any interactions between you and third parties are solely between you and the third party.

  1. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or Reel AI shall be brought exclusively in the state or federal courts located in Delaware.

  1. Termination

You may stop using Reel AI at any time and may delete your account through the platform. We reserve the right to suspend or terminate your access to Reel AI at any time, with or without notice, for any reason, including violation of these Terms.

  1. Changes to the Terms

We may update these Terms from time to time. We will notify you of material changes by posting updated Terms on Reel AI or through other reasonable means. Your continued use of Reel AI after the effective date of revised Terms constitutes acceptance of the changes.
